Aipedia: Company formation and secretarial agents

AI for share allotments and capital changes

AI can prepare SH01 returns, pre-emption waivers and capital reduction paperwork, but a missed approval can leave a share issue open to challenge. Founders and investors who lose tax reliefs or value may then claim against the agent.

In short

Share allotments and capital changes depend on a chain of approvals: directors' authority to allot, pre-emption rights, class consents, the right type of resolution and accurate filings. AI tools can draft the documents and the return of allotment, but they can miss a step that the articles or a shareholder agreement require. Errors can call into question who owns what and can affect tax-advantaged arrangements such as EMI options or investor reliefs. The agent owes reasonable care and skill, and PI usually responds to resulting claims, subject to the wording.

How agents use AI for capital changes

Funding rounds, option exercises and restructures generate a lot of paperwork. Agents and company secretaries may use AI for several of these steps:

Each document can look right on its own while the sequence is wrong: an allotment approved before authority was given, or a waiver signed by the wrong holders.

The duties that apply

The agent owes reasonable care and skill under section 13 of the Supply of Goods and Services Act 1982. Errors in AI-drafted resolutions and filings become the client's public record and may need rectification. No AI-specific guidance on this work exists.

The documents must reflect the company's articles and any shareholder agreement, which may add consent rights or pre-emption rules on top of the statutory position. Where the agent drafted those documents as well, see AI-drafted articles and shareholder agreements. Agents within accountancy or law firms are also subject to their professional body's rules.

What can go wrong

Illustrative scenario: a start-up raises money from angel investors. The agent uses an AI tool to produce the board minutes, a written resolution and the SH01. The tool applies the statutory pre-emption position and overlooks a clause in the shareholder agreement giving an existing investor a right to take up new shares first. The allotment is filed. When that investor objects, the company faces a dispute, and the new investors' tax relief claims are held up while the validity of the issue is examined.

Other errors include a reduction of capital without a valid solvency statement, shares allotted in the wrong class, option exercises recorded for the wrong number of shares and registers that no longer match the filings. AI tools can also reuse the wrong template, for example one written for a public company or a different class structure. Changes in ownership may also affect the PSC register, and invalid approvals often start with AI-drafted board minutes.

How PI treats claims from founders and investors

A claim from the client company is the most common route, but founders or investors may claim that they lost value or tax reliefs because of the agent's error. PI commonly responds to negligence claims arising from the declared services, subject to the policy terms. Points that usually matter include:

Frequently asked

Can an invalid share allotment be fixed?

Often, but the route depends on what went wrong and on the company's documents. Ratification, fresh resolutions or, in some cases, a court application may be needed. Investors usually want legal advice, and the cost can become part of a claim against the agent.

Can AI fill in an SH01 correctly?

It can complete the form from the data it is given, but the return only records the allotment. It does not check that directors had authority, that pre-emption rights were dealt with or that class consents were obtained. Those steps need human review.

Do PI policies cover tax losses from a defective share issue?

Possibly, if the loss flows from negligence in a declared service and the claimant can show the agent owed them a duty. Some policies restrict tax advice, so agents who comment on investor reliefs should check their wording.

Should formation agents advise on EMI or investor tax reliefs?

Many formation agents prepare the corporate documents and refer the tax analysis to a specialist. Advising on reliefs needs expertise and PI that covers tax advice. Making that split clear in the engagement letter helps if a relief is later lost.
