Aipedia: Management consultants
AI can summarise data rooms and draft commercial due diligence quickly, but acquirers and their lenders rely on the findings to pay a price. An error found after completion can lead to a large claim that tests reliance terms and PI limits.

In short
Consultants use AI to read contracts, customer lists and management information in data rooms, and to draft market and commercial sections of due diligence reports. AI summaries can miss terms, misread figures or invent detail, and transaction timetables leave little room to check. ICMCI 3.1 requires meaningful human review, and 3.4 and 8.3 cover confidential data. Reliance letters extend duties to lenders and other parties. PI usually responds to negligence claims, subject to the wording, but caps, aggregation clauses and the limit of indemnity decide how much is paid.
Commercial due diligence tests a target's market, customers, competitive position and business plan. Data rooms can hold thousands of documents. Consultants now use AI tools to extract key terms from customer contracts, summarise board minutes, classify revenue by customer and draft sections on market growth and competition. Interview programmes with customers may be transcribed and summarised by AI too.
The speed is valuable, but AI summaries can drop a change of control clause, misread a renewal date or attribute a comment to the wrong customer. The report is then used by the buyer to set a price and by lenders to approve funding.
Transaction timetables make the problem worse. Exclusivity periods are short, data rooms are updated late, and the temptation is to let the AI summary stand in for reading. The ICMCI AI Code is clear that AI does not reduce accountability (2.2) and that unreviewed output should not be presented as professional work (5.2).
Illustrative: a consultant prepares commercial due diligence for a private equity buyer. An AI tool summarises the top customer contracts and reports them as long term. It misses that several can be terminated on a change of control. After completion, key customers leave, earnings fall and the lender's covenants are tested. The buyer and the lending bank, both of which received reliance letters, claim the report was negligent and that they overpaid and over-lent.
Transaction claims tend to be large, involve several claimants and arrive months after completion. The consultant's working papers will be scrutinised to see what the AI read, what a person checked and what was simply accepted.
Reliance letters usually extend the consultant's duty to lenders and co-investors on the same terms as the engagement, including any cap on liability. Points that matter for PI:
PI usually responds to negligent due diligence, subject to these terms. There is no compulsory minimum, so the limit is a commercial choice.

Apex arranges PI for management consultants and can review how your policy treats reliance letters and aggregation on transaction work. See the AI in management consulting overview.
It can be useful for triage, but key documents still need human reading. Check that the tool complies with data room rules and does not retain or train on confidential material, as ICMCI 3.4 and 8.3 require.
Some consultants' PI policies may cover liability to third parties under reliance letters, subject to the wording. Some require insurer consent or exclude liability beyond what the law would impose without the letter. Check before signing.
It depends on the aggregation wording. If both claims arise from the same error, some clauses may treat them as one claim under one limit. That protects the excess but may leave the limit stretched, so size the limit with this in mind.
